Please read these Terms of Use ("Terms") carefully before using this site. By accessing and using the LaunchPoint ("LAUNCHPOINT") web sites, software, hardware and materials ("LaunchPoint Software"), you acknowledge and agree to abide by the following Terms of Use. If you do not agree to these Terms, do not use the LaunchPoint Software.
Scope of Terms
These Terms of Use are applicable to all LAUNCHPOINT Websites, whether a sponsored site, a site managed through a third party vendor or hosted by a third party (referred to hereafter collectively as "Web Sites"). These Terms also apply to any resources and tools provided through LAUNCHPOINT and/or its web sites, including but not limited to LaunchPoint Software, developer tools, download areas, mobile software applications, research areas, community forums, chat rooms, blogs, sharing sites and product information. These Terms apply to all the LaunchPoint Software, both now and in the future.
LAUNCHPOINT may provide LaunchPoint Software specific Terms of Service, for example when LAUNCHPOINT provides interactive Materials and/or enables User Generated Content. If so, to the extent that these Terms do not conflict with the program specific Terms of Service, these Terms remain in full force and effect.
Security and Privacy
Personal Information: Information submitted to LAUNCHPOINT through forms on the Web Sites or LaunchPoint Software is governed according to LAUNCHPOINT's Privacy Policy.
Member Account, Password, and Security: LAUNCHPOINT may, from time to time, host a program or activity specific site that may require you to establish a member account and/or site password. In such cases, you are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify LAUNCHPOINT immediately of any unauthorized use of your account or any other breach of security regarding your account. LAUNCHPOINT is not liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by LAUNCHPOINT or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.
Use Terms
No License: Unless otherwise specified in the LaunchPoint Software themselves, you may not modify, copy, distribute, publish, license, transmit, perform, display, reproduce, create derivative works from, transfer, or sell any LaunchPoint Software, information, products or services obtained from LAUNCHPOINT or its Web Sites.
You may not use or facilitate the use of this site, or of LaunchPoint Software in connection with any infringement concerning LAUNCHPOINT products. By your use of this site, and of LaunchPoint Software, you agree to grant LAUNCHPOINT a non-exclusive, royalty-free license to any intellectual property (patent, copyright or otherwise) claim thereafter drafted which includes subject matter disclosed on this site.
No Unlawful or Prohibited Use: You agree that you will not use the Web Sites LaunchPoint Software for any purpose that is unlawful or prohibited by these Terms of Use or the terms of use or end user license agreements of any third party vendors who sponsor, manage, host, or license products or services in connection with the LaunchPoint Software, which includes but is not limited to the following:
You may not:
1. Upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, vulgar, obscene, libelous, abusive, harassing, tortious, defamatory, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
2. Use the LaunchPoint Software, Services or activities to "stalk" or otherwise harass or harm another;
3. Impersonate any person or entity, including, but not limited to, an LAUNCHPOINT official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity or collect or store personal data about other users in connection with the prohibited conduct and activities;
4. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Web Site, or LaunchPoint Software;
5. Upload, post, email, transmit or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
6. Upload, post, email, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
7. Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail" "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
8. Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
9. You may not use the Web Site, or LaunchPoint Software in any manner that could damage, disable, overburden, or impair any LAUNCHPOINT server, or network(s) connections, disobey any requirements, procedures, policies or regulations of networks connected to the Web Site, or LaunchPoint Software or interfere with any other party's use and enjoyment of the Web Sites, or LaunchPoint Software;
10. You may not attempt to gain unauthorized access to any Web Site, LaunchPoint Software, other accounts, computer systems or networks connected to any LAUNCHPOINT server, or LaunchPoint Software, through hacking, password mining or any other means or obtain or attempt to obtain any materials or information through any means not intentionally made available through the Web Sites or LaunchPoint Software;
11. Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law; and/or
12. Provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act.
US Government Restricted Rights: The Materials including LAUNCHPOINT Software are provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. Use of the Materials by the Government constitutes acknowledgment of LAUNCHPOINT's proprietary rights in them.
Copyright Permission: The copyright in all content posted on LAUNCHPOINT website, LaunchPoint Software, and all connected sites is owned by LAUNCHPOINT Corporation. Use is authorized for editorial (news media) purposes only and subject to the LAUNCHPOINT Terms of Use. To request permission to use content outside of editorial purposes please submit your request via e-mail to [email protected]. Please include a description of your proposed usage of the materials, along with a link or copy of the materials being requested and your contact information.

Changes and Updates: LAUNCHPOINT reserves the right to modify or discontinue, temporarily or permanently, Web Sites, LaunchPoint Software (or any part thereof) with or without notice. LAUNCHPOINT may make changes to Web Sites, LaunchPoint Software, or to the products described therein, at any time without notice. User Content Submissions
Definition: User content submissions may include, but not limited to, user registration, participation, public sharing, uploading, linking, downloading, posting, and transferring, blogging, commenting, chat room, viewing, bulletin board and forum participation, or submitting or transmitting content, including, but not limited to graphics, art, data, text, video, software, code, audio, text, opinions, descriptions etc. (the "User Content") on any LAUNCHPOINT web site. The content submitted by users is referred to here after as "User Content".
Non-Endorsement: LAUNCHPOINT does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and LAUNCHPOINT expressly disclaims any and all liability in connection with User Content submissions. LAUNCHPOINT does not permit copyright infringing activities and infringement of intellectual property rights on its Web Sites, and LAUNCHPOINT will remove User Content if properly notified that such submission infringes on another's intellectual property rights in accordance with the DMCA provisions. LAUNCHPOINT reserves the right to remove User Content at its sole discretion and without prior notice.

LAUNCHPOINT, however, will have no liability related to the content of any such User Content, whether or not arising under the laws of copyright, libel, privacy, obscenity, or otherwise. The linked sites are not under the control of LAUNCHPOINT and LAUNCHPOINT is not responsible for the content of any linked site or any link contained in a linked site. LAUNCHPOINT reserves the right to terminate any link or linking program at any time. LAUNCHPOINT does not endorse companies or products to which it links and reserves the right to note as such on its web pages. If you decide to access any of the third party sites linked to this Site, you do this entirely at your own risk.
